Approved Prospectus and Listing of Shares

Reference is made to the stock exchange releases published by Oceanteam ASA ("Oceanteam" or the "Company") on 23 April 2018 regarding the restructuring of the Company and on 4 May 2018 and 26 April 2018 regarding the increase of the Company's share capital.
Prospectus approved:
The Norwegian Financial Supervisory Authority (Nw. Finanstilsynet) has approved the prospectus of Oceanteam ASA dated 11 October 2018 (the "Prospectus") in connection with the listing of a total of 670,735,700 shares already issued as part of a restructuring of the Company (the "Restructuring Shares"). The Prospectus is available at the Company's website, www.oceanteam.nl. Hard copies of the Prospectus will be available free of charge at the Company's offices at Tveiteråsvegen 12, 5232 Paradis.
Listing of the Restructuring Shares on Oslo Børs:
Pending publication of the Prospectus, the Restructuring Shares have, since their issuance, been registered with the Norwegian Central Securities Depositary, or the VPS, on an International Securities Identification Number ("ISIN") (ISIN NO0010821903) separate from the ordinary ISIN of the Company's shares (ISIN NO0010317316). Accordingly, the Restructuring Shares have not been tradable on Oslo Børs. As a consequence of the approval and publication of the Prospectus, the Restructuring Shares will be registered on the ordinary ISIN of the Company's, and hence be tradable on Oslo Børs, from and including *12 October 2018.
